Terms & Conditions

1. Who I am

WJO.Digital (trading as WJO.Digital) provides web design, SEO, content optimisation, landing page optimisation and consultancy services. Contact email: wjodigital@gmail.com

2. Acceptance of terms

These terms apply to all services supplied by WJO.Digital. By paying a deposit, signing a proposal or otherwise instructing me to proceed you accept these terms.

3. Services covered

These terms cover all services offered, including one-off projects, packages, hourly support, retainers, workshops and consultancy.

4. Quotes, proposals and scope

I will provide a written proposal or quote that sets out the agreed scope, deliverables, timescales and fees. Any changes to the scope may be subject to revised fees.

5. Payment terms

  • For project-based work, packages, half-day, full-day and custom priced work a deposit of 50% of the total cost is required before work commences.

  • Hourly and retainer fees are invoiced on the 28th of each month and are due within 14 days of the invoice date.

  • Payments are accepted by bank transfer only (details will be on the invoice).

  • If payment is not received by the due date I reserve the right to suspend work and charge interest on late payments at 4% above the Bank of England base rate until payment is made.

6. Cancellations and refunds

  • Deposits are non-refundable.

  • If a client cancels a project after the contract is signed but before work begins, the 50% deposit remains payable.

  • If a client cancels after work has started, all completed work and committed costs up to the date of cancellation will be invoiced in addition to the deposit.

7. Delivery of services

All services are delivered remotely unless otherwise agreed. Working hours may not align with the client’s standard business hours, and communication will therefore be asynchronous. I will respond to emails within a reasonable timeframe, and video calls or meetings can be scheduled in advance where required. In person meetings can also be arranged if necessary. I am happy to use the client’s preferred collaboration platforms such as Microsoft Teams or Slack to make communication easier.

8. Client responsibilities

  • For all services except content optimisation I rely on you to provide final copy, images, videos and any other assets required to complete the work.

  • You will be given a review sheet and should supply feedback within 7 calendar days of each review round. If no feedback is received within that time I will assume approval and proceed.

  • You confirm that all materials you supply are accurate and that you have the necessary rights to use them.

9. Intellectual property and licences

  • I retain ownership of all design work, code, copy and assets I create until full payment has been received.

  • On final payment, ownership of deliverables created specifically for you transfers to you, except where third party licences apply. I will provide source files where agreed in the proposal.

10. Liability and disclaimers

  • I will provide services with reasonable skill and care. However, I cannot guarantee specific outcomes such as search engine rankings, conversion rates or revenue increases, as these depend on factors outside my control including competitor activity and search engine changes.

  • To the maximum extent permitted by law, my liability for direct loss is limited to the total fees paid by the client for services in the 12 months preceding the claim.

  • I am not liable for indirect or consequential losses such as lost profits, loss of business or reputation.

  • Nothing in these terms limits liability for death or personal injury caused by negligence or for fraud.

11. Confidentiality

I will keep all information you provide confidential and will not share it with third parties except where necessary to deliver the services or where required by law.

12. Termination

Either party may terminate the agreement for material breach (including non-payment) if the breach is not remedied within 14 days of written notice. On termination you will pay for all work completed up to the termination date and for any non-cancellable costs incurred.

13. Data protection

I will process personal data in accordance with my Privacy Policy. Where you provide personal data to me you confirm that you have authority to do so. See the Privacy Policy for full details.

14. Force majeure

I am not liable for any delay or failure to perform caused by events outside my reasonable control.

15. Changes to these terms

I may change these terms from time to time. For ongoing clients I will notify you of material changes by email. For new clients the latest terms will be available on my website.

16. Governing law and jurisdiction

These terms are governed by the law of England and Wales and the courts of England and Wales will have exclusive jurisdiction.
